History and Formation

bwin.party digital entertainment plc was created through a cross-border merger of PartyGaming plc (Gibraltar) and Bwin Interactive Entertainment AG (Austria) on 31 March 2011. The merger was announced in July 2010 and approved by shareholders in January 2011. The combined entity was 51.69% owned by former bwin shareholders and 48.31% by former PartyGaming shareholders. The company was renamed from PartyGaming plc to bwin.party digital entertainment plc at completion. Joint CEOs were Norbert Teufelberger (former co-CEO of Bwin) and Jim Ryan (former CEO of PartyGaming).

Products and Brands

The core business was sports betting under the Bwin brand, offering wagering on more than 90 sports with particular strength in live/in-play betting and soccer. PartyPoker was one of the world’s largest online poker rooms and operated on its own network; the company also owned the World Poker Tour brand. Online casino offerings included PartyCasino and Bwin Casino, featuring slots, table games, and live dealer games. The company also operated the Ongame poker network until its sale to Amaya Gaming Group in October 2012 for up to €25 million. Additional soft and skill games were offered under the bwin.party umbrella.

Key Developments

In November 2013, bwin.party was granted a transactional waiver from the New Jersey Division of Gaming Enforcement, allowing it to launch PartyPoker and casino games under the Borgata Hotel Casino & Spa license. By December 2013, the site had captured 50% of New Jersey’s cash game poker traffic. Financially, the company reported revenue of €611.9 million in 2014, with an operating loss of €97.9 million and a net loss of €94.3 million, reflecting competitive and regulatory headwinds. After a bidding battle with 888 Holdings, GVC Holdings (now Entain) agreed to acquire bwin.party for £1.1 billion, with the deal closing on 1 February 2016 and the company’s shares cancelled the next day.

Regulatory and Legal

The company was licensed in Gibraltar and held various European licenses. Its pre-merger predecessor, PartyGaming, was heavily impacted by the U.S. Unlawful Internet Gambling Enforcement Act of 2006, which caused a significant drop in its poker market share. bwin.party’s entry into the regulated New Jersey market in 2013 demonstrated its ability to adapt to new regulatory frameworks.
